Job description

Our client is seeking a highly organized and detail-oriented Company Secretary to join their professional services team in Port Elizabeth. This role is ideal for a candidate with strong administrative and company secretarial experience who thrives in a deadline-driven environment and has a sound understanding of corporate governance and statutory compliance.

You will play a key role in managing company secretarial functions, maintaining statutory records, coordinating CIPC submissions, and ensuring that clients remain compliant with legislative requirements. Responsibilities

Provide comprehensive administrative and company secretarial support to management and clients. Maintain accurate company records, statutory registers, databases, and corporate documentation. Manage company amendments with the CIPC, including director changes, auditor appointments, registered office updates, financial year-end changes, and other statutory submissions.

Process share transfers, share allotments, and maintain accurate shareholding records. Administer amendments relating to Close Corporations and other registered entities. Prepare, submit, and maintain Beneficial Ownership documentation and registers in accordance with legislative requirements. Update Trust Beneficial Ownership information and submit required documentation to the Master of the High Court.

Handle company deregistrations, reinstatements, and other regulatory applications with the relevant authorities. Prepare, format, and distribute business correspondence, reports, presentations, and legal documentation. Maintain electronic and physical filing systems while ensuring the confidentiality and security of all company information.

Monitor statutory deadlines and ensure timely submission of company secretarial documentation. Support the firm's compliance framework, quality management systems, and professional standards. Provide general administrative assistance and contribute to the efficient operation of the business.

Requirements

Grade 12. Proven experience in a Company Secretarial, Corporate Governance, Legal Administration, or Compliance environment. Sound knowledge of CIPC processes, statutory compliance requirements, and corporate governance principles. Experience working with CIPC e. Services and related company secretarial systems. Understanding of Beneficial Ownership legislation and compliance requirements.
