Role summary

Advise on tax aspects of M&A and other corporate transactions Structure and negotiate tax provisions alongside corporate, PE, and finance teams Work directly with a tight Bay Area tax bench and collaborate across offices on national and cross-border matters Location: San Francisco or Silicon Valley (Menlo Park) Candidate profile 1+ year of law firm experience focused on transaction tax, with significant M&A exposure Comfortable drafting and negotiating deal documents and tax deliverables Sharp issue-spotter who can translate tax into practical deal guidance Why this role Deal flow that stays busy: the corporate platform is consistently ranked at the top of the market, and tax sits close to the action (Chambers Band 1 corporate/M&A recognition at the firm level) Lean team, real responsibility: a growing Bay Area group led by two tax partners, with cross-office support when needed Training and mentorship are built in: structured development plus day-to-day partner access in a smaller local team Market compensation: Cravath-scale base salary, plus discretionary bonus Well-being resources: a long-running firmwide program with dedicated support infrastructure Interested (confidentially)?
