Purpose: The Associate General Counsel provides strategic and practical legal guidance to support Sinceri Senior Living's operations, growth, and corporate initiatives.

This role serves as a trusted advisor to operational leaders and corporate departments, managing a broad range of legal matters including employment law, resident claims and litigation, commercial contracting, regulatory compliance, licensing, and risk management. The Associate General Counsel partners closely with the General Counsel and executive leadership to identify legal risks, develop solutions, and support the organization's commitment to delivering exceptional senior living services.

Essential Job Functions: Essential Job Functions Employment Law and Labor Relations Provide proactive legal counsel on employment-related matters, including employee relations, performance management, investigations, disciplinary actions, leaves of absence, wage and hour compliance, accommodations, and terminations. Advise Human Resources and operational leadership regarding federal, state, and local employment laws and regulations.

Manage and support responses to employment claims, administrative charges, agency investigations, and litigation. Review and update employment policies, procedures, handbooks, and training materials to promote legal compliance and mitigate organizational risk. Resident Claims and Litigation Management Manage and oversee resident claims, pre-litigation disputes, demand letters, and litigation matters.

Coordinate with insurance carriers, third-party administrators, and outside counsel to support effective case management and resolution strategies. Conduct legal risk assessments and provide recommendations regarding settlements, litigation strategy, and dispute resolution. Support operational leadership with claim prevention, risk mitigation, and response to significant resident-related incidents.

Commercial Contracting and Contract Lifecycle Management Draft, review, and negotiate a variety of commercial agreements, including vendor, service, software, technology, consulting, confidentiality, and business partnership agreements. Develop and maintain standardized contract templates, playbooks, and legal processes to promote consistency and efficiency.

Provide legal guidance throughout the contract lifecycle, including interpretation, amendment, renewal, termination, and compliance with contractual obligations. Collaborate with business stakeholders to facilitate efficient contract negotiation and execution while appropriately managing legal and business risk. Privacy and Data Protection Provide legal counsel regarding privacy, data protection, HIPAA, and related federal and state privacy requirements.

Lead the legal response to privacy and data-security incidents, including investigation, risk assessment, breach-notification analysis, documentation, and coordination with Information Technology, operational leadership, and outside counsel. Draft, review, and negotiate business associate agreements and privacy, confidentiality, and data-security provisions in commercial agreements.

Advise business teams regarding the collection, use, disclosure, retention, and protection of personal, confidential, and protected health information. Support the development, implementation, and maintenance of privacy policies, procedures, training, and other privacy compliance initiatives. Monitor developments in applicable privacy and data-protection laws and advise the organization regarding material changes and emerging risks.

Operational and Corporate Legal Support Serve as a day-to-day legal resource for operations, Human Resources, Finance, Clinical Services, Sales and Marketing, Information Technology, and other corporate functions. Advise leaders on legal and business risks associated with operational decisions and strategic initiatives.

Assist with corporate governance, policy development, and other strategic business projects. Develop and deliver legal education and training for operational and corporate teams. Manage outside counsel and other legal service providers on assigned matters, with a focus on appropriate delegation, efficiency, and cost management.

Perform other duties and special projects as assigned by the General Counsel. Minimum Eligibility Requirements

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license and good standing with at least one state bar association.
• Minimum of 5 to 8 years of legal experience, preferably combining law firm and in-house counsel experience.
• Experience advising multi-site organizations, healthcare providers, senior living organizations, or similarly regulated industries preferred.
• Demonstrated experience in employment law, litigation management, commercial contracting, and regulatory compliance.
• Ability to travel occasionally as business needs require.
