Your Role
As a Legal Counsel (Corporate M&A), you will play a key role in supporting the legal and transactional activities of Companions and its portfolio companies. This role is designed as a growth trajectory: From day one, you will build a strong foundation through hands-on involvement in collaborative M&A work, supporting ongoing transactions, as well as legal operations, compliance and corporate housekeeping; From there, you will progressively evolve towards greater involvement and ownership in M&A transactions, structuring and strategic legal work, working closely with the Head of Legal.
Your responsibilities
Corporate & Transactional Support Supporting and contributing to M&A transactions, including due diligence, document review and transaction execution; Drafting and reviewing transaction documentation (NDAs, SPAs, shareholder agreements, etc.); Coordinating closing processes and working with external advisors (law firms, notaries, tax advisors); Contributing to corporate restructurings and strategic projects within the group.
Compliance & Foundation Building Contributing to compliance processes including KYC, AML, GDPR and internal policies; Handling GDPR-related matters, including maintaining records of processing activities and managing data-related requests; Following-up on regulatory filings and obligations (e.g. UBO, governance updates); Contributing to the professionalization and automation of legal workflows.
Legal Operations & Governance Coordinating corporate governance across Companions and its portfolio companies, including board and committee meetings (agendas, materials, minutes and resolutions) and broader entity management; Managing shareholder interactions end-to-end, including communication and follow-up; Overseeing corporate records, entity structures and statutory filings, ensuring accuracy and compliance across the group; Acting as a key legal point of contact across the group, working closely with internal stakeholders on legal matters and ensuring alignment with external advisors; Contributing to the further professionalization and structuring of governance processes in a growing investment environment.
Your Profile
Master’s degree in Law; 3 to 7 years of experience in corporate law, M&A and/or commercial law (law firm or in-house); Strong interest in transactions and deal-making, combined with willingness to build a solid operational foundation; Excellent command of Dutch and English. French is a plus; Hands-on, structured and detail-oriented; Proactive mindset and eager to take ownership over time; Team player who enjoys working in a dynamic investment environment.
