Job description
Prepare and/or review meeting agendas, minutes of meetings, board and member resolutions, statutory forms/returns, and all corporate secretarial documents prepared by subordinates to ensure accuracy, completeness, and compliance prior to submission to clients and/or the Companies Commission of Malaysia and relevant authorities.
Coordinate and attend board, shareholders and committee meetings, ensuring timely preparation of agendas, meeting papers, minutes and resolutions, while liaising with the Board and Management on all related corporate secretarial matters in accordance with all relevant timelines, submission and announcement deadlines. Liaise directly, or supervise subordinates in liaising, with auditors, due diligence solicitors, regulatory authorities, and internal departments on all corporate secretarial matters.
Keep abreast of regulatory developments and current issues relating to company secretarial practices and ensure ongoing compliance with applicable laws and guidelines. Provide guidance, coaching, and training to subordinates to support their performance and career development. Identify technical and leadership skill gaps within the team and self and take proactive steps to address and strengthen capabilities.
Undertake any additional ad-hoc tasks and responsibilities as required to support Company's objectives." Requirements ICSA / MAICSA qualification or a Bachelor's Degree in Law, Business Administration, Corporate Governance, or a related field. Licensed Company Secretary (or in the process of obtaining license) is an added advantage.
Minimum 5 years of relevant working experience in corporate secretarial practice, ideally in a professional services firm or corporate environment. Prior team management experience is preferred Strong knowledge of the Companies Act 2016, Securities Commission Malaysia Act, Bursa Malaysia Listing Requirements, Stamp Act, and other relevant regulations.
Proficient in preparing and filing statutory documents, resolutions, and reports. Proactive, responsible, and client-focused mindset. Able to liaise effectively with clients, regulatory bodies, auditors, and other stakeholders.
