Job description
Job Title: Associate General Counsel Division: General Counsel Reports To: Senior Vice President & General Counsel FLSA Status: Exempt JOB DESCRIPTION The Associate General Counsel will be responsible for reviewing, preparing and approving such legal documents as are necessary for the proper functioning of UNCF operations, registrations and licenses.
The Ass ociate General Counsel is the primary internal UNCF contact for legal matters. The Ass ociate General Counsel will coordinate and work with UNCF outside counsel charged with overall legal supervisory responsibility. UNCF is committed to closing the educational attainment gap by increasing postsecondary access and success for student groups, particularly low-income and first-generation students. PRIMARY RESPONSIBILITIES AND DUTIES: Engage outside services where necessary and appropriate to safeguard UNCF’s best interests. Draft, review and negotiate contracts necessary for the organization to do business and raise revenue.
Coordinate UNCF applications to do business in the cities and state in which solicitation take place, submitting appropriate fees and documents in conjunction with each application on a timely basis. Assist in monitoring all leases and contracts to which UNCF is a party. Assure that the legal interests of UNCF are protected.
Review contracts to assure that UNCF’s best interest are protected regarding (including but not limited to) payments, performance expected, actual performance, termination provisions, etc. Interface with managers of various departments, including region/area offices, to determine need to provide legal counsel. Assist in resolving trademark questions and issues, working with outside counsel where necessary.
Assist in reviewing organizational policies and practices and make appropriate recommendations In coordination with Director of Human Resources and outside counsel, ensures that UNCF is in compliance with EEO laws and other federal, state and local regulations. Work on special projects at the direction of the General Counsel, President/CEO and/or Executive Staff.
If applicable, carries out supervisory responsibilities in accordance with the organization's policies and applicable laws.
Responsibilities include
interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; addressing complaints and resolving problems. Other duties as assigned SUPERVISORY RESPONSIBILITIES This job has no supervisory responsibilities.
QUALIFICATIONS
EDUCATION
and/or EXPERIENCE J.D. from an accredited law school required, and at least 2-3 years of experience in corporate legal matters. Experience with non-profit organizations a plus. CERTIFICATES, LICENSES, REGISTRATIONS: Must be a member of a bar of any state or Washington, DC. OTHER SKILLS AND ABILITIES Management and negotiation skills.
Excellent leadership and management abilities. Strong problem solving, planning, organizational, written, and oral communication skills. 00 To $180,000.00 per year (Salary is commensurate with experience .) This is a hybrid position : 4 days in-person, 1-day remote work schedule , located in UNCF’s Washington DC Headquarters building. Background checks required . UNCF is EOE M/F/D/V
